Offshore Shell Games 2016

U.S.-based multinational corporations are allowed to play by a different set of rules than small and domestic businesses or individuals when it comes to paying taxes. Corporate lobbyists and their congressional allies have riddled the U.S. tax code with loopholes and exceptions that enable tax attorneys and corporate accountants to book U.S. earned profits to subsidiaries located in offshore tax haven countries with minimal or no taxes.

Darden Misses Opportunity to Show Leadership, Instead Hangs with the Laggards | Matt Wellington

Yesterday I was in Orlando, Florida to present a shareholder resolution on antibiotics to Darden Restaurants, which owns Olive Garden, Yard House and LongHorn Steakhouse, among other casual dining chains. I presented the resolution on behalf of  Equity Fund and its investors. Darden corporate management was vehemently  to the resolution, which simply called for its chains to serve meat from farms that do not misuse antibiotics by routinely given them to livestock and poultry, even when the animals are not sick. It sounds like a no-brainer, and it should be.

California Gov. Jerry Brown Signs Law Enabling Citizen-Funded Election Reforms

On Thursday, California Gov. Jerry Brown signed SB 1107 into law, enabling California cities, counties, and the state to enact small donor matching programs that amplify the voices of voters in local elections. Under a small donor empowerment system, candidates who voluntarily opt in and agree to turn down large contributions receive limited public matching funds for each small contribution they secure.

On Tuesday, the Senate failed to pass a short-term budget bill to keep the government running due to opposition over a secret-money rider and a lack of federal funding to address the Flint water crisis. The proposed secret-money rider would prohibit the SEC from strengthening corporate disclosure laws by requiring transparency of secret political spending.

Extendicare, in $38 Million Elderly Mistreatment Settlement, Gets Go Ahead from Justice Department to Claim Payment as "Ordinary Business Expense"

Today’s Justice Department settlement with Extendicare allows the company to deduct the $38 million payment from its taxes as an “ordinary business expense,” leaving the door open for Extendicare to take a tax windfall of $13.3 million.

Who Owns Big Oil? We Do!

The American Petroleum Institute has a new public image campaign: . The purpose of this website, presumably, is to convince us that if we raise taxes on hugely profitable corporations we will only be hurting ourselves. Why? Because we are all shareholders of those corporations and when they are taxed we suffer.

While I am skeptical of API’s conclusions, it’s right to say we own the oil companies. In fact, shareholders across the country are demanding accountability and disclosure from the corporations that they rightfully own and the effort could be the key to slowing the flow of corporate money in the 2012 election.

CFPB Launches College Cost Tool; Its Investigations of Overdraft Fees and Auto Finance Escalate | Ed Mierzwinski

The Consumer Financial Protection Bureau (CFPB) has announced a "thought starter" beta test version of a tool to make it easier to calculate college debt burdens. "The goal is to give students and their families an easy-to-understand view of how their decisions today impact your debt burden after graduation."  Meanwhile, banks and an auto finance company have confirmed that the CFPB is investigating both the marketing of overdraft protection schemes and the practices of "buy here, pay here" auto dealers.

U.S., States Sue Apple, Publishers Over E-Book Price Conspiracy | Ed Mierzwinski

Today, the U.S. Attorney General and the Attorney Generals of Connecticut and Texas announced settlements with several publishers -- Hachette Book Group, Simon & Schuster and HarperCollins --over an alleged conspiracy with Apple and other publishers to attack Amazon's pricing model, secretly set e-book prices and thereby harm consumers. However, Apple and the publishers Macmillan and Penguin Group USA have refused to settle and are being sued by the agencies.
